4. PARTICIPANTS

(b) Participant agrees and provides consent to the Promoter and/or Xiaomi to the use of any personal data as provided by the Participant for the purpose of participation in this Promotion in line with the Philippines Data Privacy Act of 2012, to the extent that any personal data provided shall only be processed and be used by Promoter and/or Xiaomi for lawful purpose directly related to the running of this Promotion including but not limited to the purposes of promotional events, advertising, marketing and any administrative matters to facilitate the management and organizing of this Promotion.

8. LIABILITY AND REPRESENTATION

8.1 PROMOTER REPRESENTATION

(a) Unless otherwise expressly stated in this terms and conditions, Promoter and its affiliated partners or third-party promoters shall carry out this Promotion with reasonable care and on best effort basis, excluding all warranties and conditions of any kind whether expressly or implied. In particular but without limitation, Promoter and its affiliated partners or third-party promoters do not warrant or represent that: - (i) This Promotion is fit for any purpose or meet Participants requirements or is provided without any errors or deficiencies or that the Promotion in compliance with any quality levels, as the case may be; (ii) This Promotion is available to Participant at any time and provided to Participant without disruption, interruption or delay; (iii) Any information (whether oral or written) obtained by Participant from Promoter or as a result of Participants taking part in the Promotion (including any materials or products) will be suitable, accurate, complete, or reliable; and (iv) That any deficiencies in the promotion, including any defects in performance, operation or functionality of the Promotion will be fixed, corrected or otherwise remedied by the Promoter.

(b) Participants shall accept the prizes, gifts or coupons under this Promotion as they are. Promoter makes no representation, warranty or undertaking as to any implied terms and conditions with respect to the prizes, gifts or vouchers under this Promotion. Promoter shall have no liability or responsibility in respect to defect or deficiency of the prizes, gifts or vouchers or the nature/consumption of the prizes, gifts or vouchers and will not entertain any direct correspondence with anyone in this regard.

8.2 PROMOTER LIABILITY

(a) Promoter shall not be liable to Participant, regardless of the legal grounds, in particular whether in contract, tort (including negligence) or any theory of liability, arising out of or in connectionn with the participation in the Promotion for: - (i) Any indirect, incidental, special or consequential damages; (ii) Any loss of income, business, actual or anticipated profits, opportunity, goodwill or reputation (whether direct or indirect); (iii) Any damage to and/or corruption or loss of data (whether direct or indirect); (iv) Any changes, modifications, extensions or limitations (including any suspension of Participants) in the Promotion. (v) Access to Participants (account and account data or Participants registration data) taking part of the Promotion, or any permanent or temporary cessation in the terms or conditions of this Promotion (or any part of them).

(b) The Promoter shall not be responsible for any losses or damages directly or indirectly incurred by any party including the Participant in connection or arising from acts or omissions or in any way related to this Promotion or to the nature/consumption of the prizes, gifts or vouchers.

(c) The Participant agrees to discharge and release Promoter and/or Xiaomi from any liabilities and claims (including from breach of contract, tort, negligence or any other cause of actions at law or equity) arising out of or in any way connected to this Promotion or to the Participant’s entry in this Promotion or to the nature/consumption of the prizes, gifts or coupons.

(d) The Participant further agrees to discharge and release any third party which is related to and connected with this Promotion from any liabilities and claims (including from breach of contract, tort, negligence or any other cause of actions at law or equity) arising out of or in any way connected to this Promotion or to the Participant’s entry in this Promotion or to the nature/consumption of the prizes, gifts or coupons.

(e) By entering into this Promotion, the Participant agrees to indemnify and hold Promoter and/or Xiaomi, their group of companies, their officers, directors, shareholders, predecessors, successors in title, employees, agents and representatives free and harmless from any claims, losses, damages, liability, claims or expenses (including any legal fees and litigation costs), suffered or incurred by Promoter and/or Xiaomi due to or in any way arising from this Promotion.

(f) The Promoter reserves the rights to modify and/or cancel any of the stated terms and conditions, or shorten or extend the Promotional Period subject to approval of regulatory(s). Participants are encouraged to check from time to time to view any amendments and/or changes made to the stated terms and conditions.

8.3 PARTICIPANTS LIABILITY

(a) The Participant is entirely responsible for any breach of the obligations under: - (i) These terms and conditions; and (ii) For the consequences of any such breach, including any loss or damage which Promoter or any third-party may incur or suffer. Promoter shall have no responsibility to Participant or to any third party in respect of such breach.

(b) If Participants are discovered to be using or have used improper means to participate in this Promotion, Promoters reserves the right to cancel the eligibility without notice including without hesitation, the commencement of legal proceedings under full extent of applicable laws.

(c) In the event any prizes, gift or coupons are being awarded to the Participant having provided false or mistaken identity or information, the Promoter, at its sole discretion, shall shall have the right to revoke the Participant’s eligibility for the said prizes, gift or coupons.

9. LEGISLATION AND APPLICABLE JURISDICTION

The terms and conditions of this Promotion shall be governed by the laws of the Philippines and the parties submit to the exclusive jurisdiction of the courts in the Philippines.
