GENERAL TERMS AND CONDITIONS FOR MI POINTS PROGRAM

Mi Points Program (“Program”) is a loyalty program operated by Xiaomi Technologies Malaysia Sdn Bhd (Company No. 202101002126 (1402424-W)) ("Operator") to reward the loyalty of Xiaomi customers. This Program offers eligible individuals ("Participant(s)") the opportunity to earn and redeem points (“Mi Points”) that will be credited to Participant's Xiaomi account ("Xiaomi Account") as set forth in this General Terms and Conditions for Mi Points Program ("Terms").

1. PARTICIPATION

1.1 ELIGIBILITY

This Program is open to all legal residents, who are eighteen (18) years of age or older, of Malaysia ("Territory"). Participant must have a valid Xiaomi Account to participate in this Program.

In case of minors ("Minor") under the age of eighteen (18) years of age, you are not permitted to enter into these Terms unless your parent or legal guardian understands and consents to the Terms. If you are a parent or legal guardian permitting a Minor to participate in this Program, you agree to: (i) supervise the Minor's participation of this Program; (ii) assume all risks associated with the Minor’s participation of this Program, (iii) assume any liability resulting from the Minor’s participation of this Program; (iv) ensure the accuracy and truthfulness of all information submitted by the Minor or, if required by the laws of the Territory, submit all required information truthfully and accurately on behalf by the Minor; and (v) assume responsibility and are bound by these Terms for the Minor’s access and participation of this Program.

1.2 COMMENCEMENT

Participation is voluntary and starts with the registration of a Xiaomi Account at the Participants local participating website or in the Mi Store App. Participants which are already registered at mi.com will be automatically enrolled in this Program, however, participation is voluntary. Multiple Xiaomi Accounts by one Participant are not allowed. There is a limit of one (1) Xiaomi Account per person/e-mail address, regardless of whether more than one person uses the same e-mail address. The person who is the authorized e-mail account holder of the e-mail address indicated when registering (and who otherwise meets the eligibility criteria) will be deemed the participant.

Continued participation in this Program constitutes Participant's continued full and unconditional agreement to these Terms, as they may be updated from time to time, and representation that Participant meets the eligibility requirements set out in these Terms. Those who do not comply with these Terms may be prohibited from participating in this Program as determined by Operator in its sole discretion.

2. MI POINTS

2.1 GENERAL

Mi Points are the basis of this Program and will be credited for qualifying activities to Participant's Xiaomi Account. Mi Points can be used only for purposes specified in these Terms, as they may be updated from time to time, as published by the Operator.

Mi Points does not constitute property, does not entitle Participant to a vested right or interest. As such, Mi Points are not redeemable for cash, transferable or assignable for any reason. Accordingly, Mi Points are not transferable upon death, as part of a domestic relations matter or otherwise by operation of law. Mi Points may not be sold on any secondary market, and any transfer of Mi Points to a secondary market shall be deemed void. The sale or transfer of Mi Points is strictly prohibited and may lead to termination/deactivation of Xiaomi Account and/or Mi Points. There shall be no carry over or transfer of Mi Points to other Operator's programs, unless otherwise determined by Operator in its sole and absolute discretion.

2.2 MI POINTS BALANCE

Participants may see their Mi Points balance within their Xiaomi Account and in the Mi Store App (Mi Point Center) under “Available Mi Points”. In addition, Participants may receive a notification about their Mi Points balance via E-Mail or other way of communication.

2.3 EARNING MI POINTS

2.3.1 GENERAL PROVISIONS

Participant can only earn Mi Points after a successful registration of a Xiaomi Account and only while being logged in in his Xiaomi Account or Mi Store App during the purchase.

2.3.2 PURCHASES

Participants can earn Mi Points for each purchase on Participants local mi.com website. One (1) Mi Point earned for Ringgit Malaysia One (RM1) (or as otherwise timely limited or unlimited communicated by the Operator within the Mi Store App) actually spent for any purchase. The actual spent amount is the total amount as stipulated on the invoice (including any handling and shipping costs). Should the total amount include any decimal amount, the earned Mi Points will be rounded up if the decimal amount is equal or higher than ,50 and rounded down if the decimal amount is equal or lower than ,49.

Participants must be logged in into their Xiaomi Account while doing and finalizing the purchase.

2.3.3 PARTICIPANT INTERACTIONS

Participants may earn Mi Points via interaction as described below.

2.3.3.1 Enrolling

Participants which register and open a Xiaomi Account at their local participating mi.com website and download the Mi Store App will earn the following amount of Mi Points: (i)Register at mi.com – 200 Mi Points (ii)Download and log in in the Mi Store App – 100 Mi Points The Mi Points for enrolling are only granted one single time (for registering on mi.com and for download/log in of the Mi Store App). Already registered Participants on mi.com and Participants which have already downloaded the Mi Store App, will be granted as well an enrolling bonus as described above by activating this task in their Xiaomi Account.

2.3.3.2 Share Content

Participants may earn 50 Mi Points each time they share product links of mi.com or product links in the Mi Store App on their social media accounts. Participants must be logged into their Xiaomi Account or be signed in with their Xiaomi Account credentials in the Mi Store App to be eligible to earn Mi Points for sharing content. Participants must use the official “share” button or “pop up” on mi.com or the Mi Store App and follow the instructions, so that the Operator is able to track the sharing in order to credit the Mi Points.

Earning Mi Points by sharing content is limited to three (3) times per calendar month per Participant. Additional Terms and Conditions of the social media channels may apply.

2.3.3.3Product Reviews

Participants may earn Mi Points by publishing product reviews on mi.com. To be qualifying for earning Mi Points the Participant must be logged into the mi.com account while publishing the review, the review must fulfill the Terms of Use of the review section of mi.com and the review must be actually released for publishing by the owner of mi.com. The following amount of Mi Points may be earned per product review:

Moreover, only reviews for products actually bought on mi.com are eligible. Should a review be deleted, the Operator reserved the right to withdraw the earned Mi Points. Furthermore, the Participant is allowed to place more than one (1) review for the same product, but only the first review is qualifying for earning Mi Points, even if the Participant has deleted his initial review.

2.3.3.4 Collect Fuels

Participants may earn Mi Points by collecting Fuels. Fuels are interactive buttons within the Mi Store App. By clicking (collecting) on the Fuel button within the Mi Store App, Participants may collect 2 Mi Points each day. If a Participant collect on seven (7) continuous days the Fuel button, the Participant will receive 50 Mi Points in addition as a bonus. Should a Participant click on seven (7) continuous days on the Fuel button, the period for continuously collecting Fuels will start on the next day all over again. Should a Participant miss one day on collecting Fuels, the collecting period will start all over again from the day the Participant started to collect Fuels again.

2.3.3.5 Browse pages

Participants can complete the task by browsing page on mi.com or the Mi Store APP interface. Participants can earn 20 Mi Points by completing a specified page for at least 15 seconds and meeting the requirements. Earning Mi Points by browsing the page is limited to 3 times per calendar month per Participant.

2.3.3.6 Watch video

Participants can complete the task by watching the specified video on mi.com or Mi Store APP interface and meet the requirements to earn 50 Mi Points. Earning Mi Points by watching the video is limited to 1 times per calendar month per Participant.

2.3.3.7 Other ways

Participants may earn Mi Points in other ways as published by the Operator from time to time. Special Terms and Conditions for those may apply in addition to these Terms.

2.4 CREDITING OF MI POINTS

Mi Points will only be credited if the Participant complies with these Terms. All qualifying Mi Points will be credited automatically to the Xiaomi Account / Mi Point Center of the Participant, latest sixteen (16) days after a qualifying earning.

In case qualifying Mi Points are not credited automatically, the Participant has the right to claim for missing Mi Points via E-Mail (service.my@support.mi.com)

Should the Participant return a purchased product, or withdraw from the purchase, or withdraw/delete his sharing of content or product review, or conduct any action which in the sole view of the Operator constitute a breach of these Terms or qualifying earning. Operator reserves a right to withhold or deduct Mi Points from the Participants Mi Point balance at any time.

2.5 REDEEM MI POINTS

2.5.1 GENERAL PROVISIONS

Participants may redeem their Mi Points as soon as their amount of Mi Points has a sufficient balance. Redeem offers (i.e. Discount Vouchers) and the respectively required amount of Mi Points for each redeeming offer is available in the Mi Points Center. The availability of redeem offers may vary from time to time or be personalized in the sole direction of the Operator. The conversion of Mi Points into cash is not possible. In addition, the sale, exchange, offer (for auction) or any other transfer of Redeem Offers to any third party is prohibited.

2.5.2 DISCOUNT VOUCHER

Discount Voucher for future purchases applicable on the Participants local mi.com website are available as an redeem offer for a certain amount of Mi Points. The number of Mi Points required for the redemption is as published at the time of redemption. Participants obtaining and using a Discount Voucher may decrease one or more future purchase amount(s) in the value as stipulated by the Discount Voucher. Discount Vouchers may be limited to a certain product category, minimum purchase price or other special conditions as stipulated on the Discount Voucher. Discount Voucher do not apply on shipping or handling fees and cannot be used accumulating on one single purchase.

2.5.3 OTHER REDEEM OFFERS

Participants may redeem their Mi Points for other redeem offers as published from time to time by the Operator. Special or Supplementary Terms and Conditions may apply to those other redeem offers.

2.5.4 DISCOUNTING PURCHASES

Participants may redeem their Mi Points to discount their purchases on https://www.mi.com/my/ (or via the MI APP). In general, all products and services available for purchase are eligible to be discounted by Mi Points. However, Operator may from time to time exclude certain products or suspend the possibility of redeeming Mi Points for discounting purchases. Shipping/Delivery fees/costs are excluded from any discounting possibility.

Unless otherwise stated by the Operator the exchange rate is as following: 1 Mi Point =0.01 RM

The minimum amount of Mi Points a Participant must possess to enable discounting purchases is 1 Mi Points. After enabling discount purchases, Participants may use a minimum amount of 1 Mi Points for each respective purchase order.

The maximum Mi Points amount to discount a purchase is as following:

Unless otherwise stated by the Operator, Participants with more than 0 Mi Points at the time of purchase may discount up to 4% of the total purchase order amount (after a potential rebate/coupon discount). Should due to this calculation the purchase order amount which can be discounted have a decimal place the amount of Mi Points will be rounded up or down to a full number.

If Participants choose to discount a purchase order, the amount of discount to such purchase order will be displayed at the checkout page by Operator. Should Participants choose to discount a purchase order, such discount will be automatically applied to the total amount due. The Mi Points used will then be deducted from the Participants Mi Points account after the purchase is made and confirmed.

Should a Participant purchase more than one (1) Product or Service and use Mi Points to discount the total order, such discount will be automatically allocated proportionally (according to the contribution percentage of the single products to the total order amount) to all Products or Services purchased. In case of (i)order cancellation by the Participant or the Operator; or (ii)whole or partial return of the order. the Mi Points will be credited back – after a reasonable period - to the Participants Mi Points account. In case only parts of an order are returned or cancelled, only those Mi Points for such returned or cancelled parts will be returned.

Not withstanding anything contrary and for clarification purposes, Participant has no right to claim any pay out of the cash value of the Mi Points.

2.6 EXPIRATION OF MI POINTS AND REDEMPTIONS

2.6.1 EXPIRATION OF MI POINTS

Any amount of Mi Points older than twelve (12) months after credit shall be forfeited on the next 1st day of the month after the Mi Points became older than 12 months, unless a longer expiry period has been published by the Operator. The date and amount of the lapsed Mi Points shall be indicated via push and/or message in the Mi Point Center on the 1st day every month. For example, Mi Points earned in January 2024 will be cleared on February 1, 2025, and push and/or message shall be given on January 1, 2025. Xiaomi has the final right to interpret and amend the rules for clearing Mi Points.

2.6.2 EXPIRATIONS OF REDEMPTIONS

In case of Discount Vouchers, the date of the expiry shall be as indicated in the Mi Point Center or the Terms and Conditions of the Discount Voucher.

For any other redemptions, the expiry period of the redemption (if applicable according to the nature of the redemption) shall be as indicated in the Mi Point Center.

3. BREACH OF TERMS AND CONSEQUENCES

3.1 TERMINATION OF PARTICIPATION BY PARTICIPANT

Participant may terminate the participation by terminating the Xiaomi Account at any time without notice.

3.2 TERMINATION OF PARTICIPATION BY OPERATOR

Operator reserves the right to terminate, suspend or discontinue the eligibility of any Participant who uses, or, in the case of suspension, is suspected of using, this Program in a manner inconsistent with these Terms or any federal or state laws, statutes or ordinances. In addition to suspension or discontinuance of this Program eligibility, Operator shall have the right to take appropriate administrative and/or legal action, including criminal prosecution, as it deems necessary in its sole discretion.

3.3 MATERIAL BREACH / EXTRAORDINARY TERMINATION

Operator reserves the right to immediately terminate, suspend or discontinue the eligibility of any Participant for material breach, misuse of this Program (including the Mi Points and Redemptions), good cause, as well as exclusion from Participation in this Program in the future. Good cause is present in the event of a culpable serious violation by the Participant of these Terms.

3.4 BLOCKING/FREEZING OF ACCOUNTS AND MI POINT BALANCE

Operator reserves the right to immediately block/freeze the Participants Xiaomi Account and Mi Point Balance/Center in the event (or suspicions) of misuse, material breach or good cause. The ability to block/freeze exists for a time period necessary in order to properly investigate the circumstances of the case.

3.5 MI POINTS AND REDEMPTIONS IN CASE OF TERMINATION

In the event of proper termination by the Participant, the Mi Points and Redemptions shall be valid until the Xiaomi Account is closed or the Mi Points/Redemptions are forfeited/expired, whatever occurs first.

In the event of proper termination by the Operator, the Mi Points and Redemptions shall be valid until the Xiaomi Account is closed or the Mi Points/Redemptions are forfeited/expired, whatever occurs first.

In the event of Material Breach/Extraordinary Termination by the Operator, the Mi Points and Redemptions shall automatically expire on the day of the effective termination.

4. MODIFICATIONS TO THE PROGRAM

Operator reserve the right to make any change, modification or additions to these Terms, this Program itself and/or parts thereof, at any time with or without notice to Participant.

A Participant's continued participation in this Program constitutes his or her acceptance of any changes to these Terms. If a Participant rejects the change, modification or addition, then his participation may be terminated by means of ordinary termination.

5. PROGRAM TERMINATION

Operator reserve the right to discontinue this Program at any time, with or without notice to Participant. The same applies in the event that this Program is replaced by another program.

6. LIABILITY

6.1 LIMITATION OF LIABILITY

Operator, and its parent, subsidiary, affiliate, franchisees, and related companies, and each of its and their respective officers, directors, employees, shareholders, agents and promotional and advertising agencies, successors, assigns (collectively the “Released Parties”) are not responsible for any printing or computer error, omission, interruption, irregularity, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alteration of Program materials or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of Program information due to technical problems or traffic congestion on the internet, at any web site or any combination thereof. In the event that this Program, Xiaomi Account and/or Mi Store App is temporarily corrupted and suspended, notice of such will be provided and Participants will be advised to (1) not redeem Mi Points until such time that this Program, as originally intended, may be resumed and (2) that transactions during this time period completed will not generate Mi Points for the Participant.

By participating in this Program, each Participant accepts all responsibility for, and hereby releases and agrees to indemnify and hold harmless Operator and their Released Parties from and against any claims, liabilities, damages, or expenses that may arise from actions taken by such Participant and/or Participant’s participation in this Program, or for any harm or injury caused by any third party.

IN NO EVENT SHALL RELEASED PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE DAMAGES OR LOST PROFITS, EVEN IF ANY OR ALL OF THE FOREGOING OR ANY OF THEIR AUTHORIZED REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS MEANS THAT PARTICIPANT HEREBY WAIVES ANY AND ALL RIGHTS TO ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE DAMAGES OR LOST PROFITS FROM OPERATOR AND ITS LICENSORS. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OPERATOR’S CUMULATIVE LIABILITY TO PARTICIPANT ARISING FROM ANY CAUSE OF ACTION WILL AT ALL TIMES BE LIMITED TO THE LESSER OF (A) YOUR ACTUAL LOSS; OR (B) RM1,000. THE FOREGOING DISCLAIMERS, EXCLUSIONS AND LIMITATIONS SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EVEN IF ANY REMEDY FAILS ITS ESSENTIAL PURPOSE.

Released Parties are not responsible for any products or services offered other than those manufactured by the Operator. TO THE FULLEST EXTENT ALLOWABLE BY LAW, OPERATOR, SPECIFICALLY DISCLAIM ANY REPRESENTATIONS OR WARRANTIES, EXPRESSED OR IMPLIED, REGARDING THE PRODUCTS AND/OR SERVICES SOLD THROUGH THIS PROGRAM, including any implied warranty of merchantability or fitness for a particular purpose and implied warranties arising from course of dealing or course of performance.

6.2 PARTICIPANTS LIABILITY

As a condition of participating in this Program, Participant agrees that, except where prohibited, any and all disputes, claims and causes of action arising out of, or connected with, this Program or any item purchased therein shall be resolved individually with Operator and/or Third Party (if any), without resort to any form of class action.

PARTICIPANT IS ENTIRELY RESPONSIBLE FOR ANY BREACH OF THE OBLIGATIONS UNDER

(i) THESE TERMS; AND

(ii) ANY APPLICABLE LAW OR REGULATION IN THE RELEVANT JURISDICTIONS, INCLUDING THE JURISDICTION WHERE YOU ARE A RESIDENT OR FROM WHERE YOU ARE USING THIS PROGRAM

(iii) AND FOR THE CONSEQUENCES OF ANY SUCH BREACH, INCLUDING ANY LOSS OR DAMAGE WHICH OPERATOR OR ANY THIRD PARTY MAY INCUR OR SUFFER. OPERATOR WILL HAVE NO RESPONSIBILITY TO PARTICIPANT OR TO ANY THIRD PARTY IN RESPECT OF SUCH BREACH.

7. ASSIGNMENT

Operator may assign at any time and without any liability or prior notice this Program or parts thereof to any affiliate or third-party.

8. PRIVACY POLICY

Personal data of the Participants will be collected, processed, transferred and used for the operation of this Program. Further information relating to the handling of data can be found at mi.com and the Privacy Policy of mi.com shall apply for this Program. The handling of personal data of any external Third-Party Website or social media channel is up to the Privacy Policy of this website or social media channel.

9. APPLICABLE LAW

All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms, Participant’s rights and obligations, or the rights and obligations of Operator in connection with this Program, shall be governed by, and construed in accordance with the laws of Malaysia, without giving effect to any choice of law rules.

10. SEVERABILITY

If the whole or any part of a provision of these Terms is void, unenforceable or illegal in one jurisdiction, the remainder of these Terms shall be enforceable and valid in a court of competent jurisdiction.

11. VERSION AND VALIDITY

These Terms are valid from 11.April.2024 and until these Terms are replaced by a newer version according to these Terms.
