TERMS AND CONDITIONS
1. ORGANIZER AND ACTIVITY
These general terms and conditions (hereinafter "T&C") govern the conditions of participation in the Activity entitled "ANNUAL REPORT 2023" (hereinafter, "ACTIVITY"), organized by:

ID Registration number: 11447538 (hereinafter, "Organizer").
The purpose of this Activity is to increase numbers of the active users of online platform and improve the brand favorability by providing the users with dynamic activities and chances to get rewards and discounts for their future purchases.
The Activity will be available on the local mi.com website and local Mi store APP.

2. ACCEPTANCE OF ACTIVITY RULES AND THIRD-PARTY TERMS AND CONDITIONS
A. Participants' express consent
(I) By participating in the Activity, Participants hereby agree to (i) these TC, as well as (ii) Organizer's Terms of Use (https://www.mi.com/uk/support/terms/xiaomi-annualreport-2023) and Privacy Policy (https://www.mi.com/uk/about/privacy), which can be viewed on the Participant's local mi.com website.
(II) Organizer reserves the right to change the T&C in case of:
a. changes in applicable general provisions of law resulting in the need to adapt it to these changes in law;
b. removing any errors and clarifying any ambiguities in the T&C;
c. issuance of a judgment or other act by a court or authorized public authority resulting in the need to amend the T&C in order to adapt to such a judgment or other similar act;
d. changes to the functionality of the Website;
e. organizational or legal changes of the Organizer.
Participants will be informed about changes to the Terms and Conditions at least fourteen (14) days in advance by publishing information about the planned change on the website [mi.com/uk] If a binding legal provision, judgment, or other similar act of an authorized public authority requires the Organizer to make changes to the Terms and Conditions within a shorter period than specified in above, the notice of the changes to the Terms and Conditions will indicate the shorter period, along with the reason. The modified Terms and Conditions apply to the Participant who does not withdraw from participating in the Activity before the effective date of the changes to the Terms and Conditions.
B. Third Party Disclaimer and Applicable Terms of Use and Privacy Policies
(I) Participants fully understand and acknowledge that social media or platforms owned by third parties - including but not limited to Facebook - that may be used in connection with the Activity; do not sponsor, endorse, or administer this Activity in any way and should not be associated with this Activity.
(II) In addition, Participants hereby acknowledge and agree that third party may apply terms of use/service/sales and privacy policies - which shall include Organizer's business partners, i.e. the e-commerce platforms designated herein - in addition to these Terms.
3. TERRITORY
The Activity is valid in [United Kingdom].
4. PARTICIPANTS
You must be of legal age (18 or over) ) and have full legal capacity and you need to be consumer in the Territory in which you reside to participate in this Activity (the "Participants" and/or the "Participant").
Participation is voluntary and free of charge, with the exception of Internet charges. Inaccurate or erroneous data will not be accepted in the Activity.
To obtain the Coupon that would be gifted during the activity, participants need to have an active and valid Mi ID and need to log in to the local mi.com website and/or the Mi Store App.
In case the participants do not have a valid Mi ID while participating in this activity, they could register one through local Mi.com and Mi Store App.
The organizer reserves the right to cancel the participation of any use who conduct illegal actions, such as cheating, fraud and/or disqualification during the Activity.
5. TERM
This Activity starts from 10:00 am (GMT+0) 20th December 2023 and end on 23:59 pm (GMT+0) 4th January 2024 (hereinafter, “Term” of the Activity).
6. MECHANISM OF THE ACTIVITY
Participants can get access to and participate in the Activity through the local mi.com website and local Mi store APP. The Activity will be separated into two stages as further described below.
a. First Stage：Annual Retrospect & Make a Wish
In the first stage of the Activity, Participant can get access to the portal page through mi.com website (mi.com/uk) and local Mi store APP and other promotional pages of the Activity.
(I) If Participants had logged into mi.com account or Mi Store APP, there will be a retrospect of the date of the Participants’ Mi ID’s first visit to mi.com website and/or the Mi Store APP, and personal data on mi.com in the year of 2023 (the amount of the items purchased, the amount saved, the behavior in which the Participant got the total Mi Point, used Mi point and valid Mi Point on mi.com website (mi.com/uk) and local Mi store APP in 2023, and the birthday information). After completing the Retrospect, Participant may choose from a list of year’s wishes and create a personalized poster which can be downloaded and shared on social network as Participant likes.
Or,
(II) If Participant’s had not logged into mi.com website or Mi Store APP, there will be no retrospect of Participant’s personal data, however, Participant could still choose from a list of year’s wishes and create a personalized poster presenting Participant’s new year wishes which can be downloaded and shared on social network as Participant likes.
b. Second Stage: Coupon Claim
Under the circumstances that Participant had logged into mi.com account or Mi Store APP, 2 coupons would be gifted to corresponding account in 24 (twenty-four) hours after Participant completing the first stage.
The Participant who had not registered and/or logged into mi.com account or Mi Store APP in the first stage would not obtain the Coupon in this Activity.
c. Rules of Coupon
(i) a. The participant would be gifted two (2) coupons mentioned in Clause 6.b as long as he/she has a valid Mi ID and has logged into it through Mi.com or Mi Store app. Coupon 1 will be in value of [ 20 ]￡, coupon 2 will be in value of [ 10% off ].
The Participant should log in to the Participant’s Mi ID through mi.com/uk or the Mi Store APP .
(ii) The Coupon 1 will be applicable for the purchase of both smartphone and pad products(Available up to 200￡). The Coupon 2 will be applicable for the purchase of eco products(Available over 69￡, discount amount up to 50￡).
(iii) A purchase order should be made ahead of the application of the Coupon. Participants must proceed to make the payment and the final price will automatically be deducted by 20£ or 10% off. The final price will be displayed in the shopping cart, and the Participant will see both prices, including the original price and the price after the deduction.
(iv) Period of Validity of the Coupon: from 00:00 on Dec, 20 , 2023 to 11:59 p.m. on Jan,31, 2024.
(v) Please note that each Mi ID may only redeem Two (2) coupons during the period and the coupon(s) should not be combined with other types of discount coupons.
(vi) The discount coupon is non-refundable and cannot be exchanged for cash in whole or in part. If Participant returns any order purchased with this promotion, the discount will expire at the same time. If the order is cancelled, refused or returned, the Coupon will be void and cannot be used again.
7. LIABILITY AND REPRESENTATION
a. Organizer Representation
Unless otherwise expressly stated in this T&C, Organizer and its affiliated or third-party Organizers provide the Activity on best effort basis only and exclude all warranties and conditions of any kind whether expressly or implied. In particular but without limitation, Organizer and its affiliated or third-party Organizers do not warrant or represent that:
(i) The Activity is fit for any purpose or meet Participants’ requirements or is provided without any errors or deficiencies or that the Activity in compliance with any quality levels, as the case may be;
(ii) The Activity is available to participant at any time and provided to Participant without disruption, interruption or delay;
(iii) Any information (whether oral or written) obtained by Participant from Organizer or as a result of Participants taking part in the Activity (including any materials or products) will be suitable, accurate, complete, or reliable; and
(iv) That any deficiencies in the Activity, including any defects in performance, operation or functionality of the Activity will be fixed, corrected or otherwise remedied.
b. Organizer Liability
Organizer is not liable to Participant, regardless of the legal grounds, in particular whether in contract, tort (including negligence) or any theory of liability, in or out of the connection with the participation in the Activity for:
(i) Any indirect, incidental, special or consequential damages;
(ii) Any loss of income, business, actual or anticipated profits, opportunity, goodwill or reputation (whether direct or indirect);
(iii) Any damage to and/or corruption or loss of data (whether direct or indirect);
(iv) Any changes, modifications, extensions or limitations (including any suspension of Participants) in the Activity.
(v) Access to Participants account and account data or Participants registration data) taking part of the Activity, or any permanent or temporary cessation in the terms or conditions of the Activity (or any part of them).
In the event that Organizer is liable for a breach of these terms, Organizer liability shall be limited to damages which Organizer must typically expect at the time of the conclusion of these terms due to the circumstances known at the time. Notwithstanding the above, such damages shall not be higher than hundred (100) euros (or equivalent local currency).
Nothing in these terms shall exclude or limit Organizer’s: (a) Liability for death, personal injury or fraud or in accordance with any product liability act; and (b) Warranty or liability for damages or losses which may not be lawfully excluded or limited by applicable law. If the laws in the Participants jurisdiction do not allow the exclusion of certain warranties, terms or conditions or the limitation or exclusion of liability for loss or damage caused by negligence, breach of contract or breach of implied terms, or incidental or consequential damages, only the limitations which are lawful in that jurisdiction will apply to the Participants and Organizer’s liability and warranty will be limited to the maximum extent permitted by applicable law.
c. Participants Liability
Participant is entirely responsible for any breach of the obligations under
(i) These terms; and
(ii) Any applicable law or regulation in the relevant jurisdictions, including the jurisdiction where Participant resides or from where Participant is participating in the Activity.
(iii) And for the consequences of any such breach, including any loss or damage which Organizer or any third-party may incur or suffer. Organizer will have no responsibility to Participant or to any third party in respect of such breach.
8. COMPLAINTS
All complaints related to the Activity can be submitted through the website https://www.mi.com/uk/support.
The complaint will be considered within fourteen (14) days from the date of its receipt, based on the applicable laws and this T&C. However, the deadline may be extended in the event of reasons beyond the Organizer's control, about which the Participant will be informed.
9. PERSONAL DATA
Organizer attaches great importance to Participant’s privacy and is committed to ensuring the security of Participant’s personal data. Organizer strictly complies with all applicable laws and privacy policies for processing Participant’s personal data that are necessary to provide services to you.
For the purpose of providing Participant with the service in the form of the Activity and releasing the Coupon, and for the administration and management activities relating to the same, Organizer will act as the data controller, and Participant agrees and consents that Organizer may collect, use, disclose and otherwise process the following personal data (in addition to and not mutually exclusive with such data that Organizer or its affiliates in Xiaomi Group may have collected for providing Xiaomi’s other products or services) relating to Participant’s activity on mi.com website (mi.com/uk) and/or local Mi Store app with Participant’s Mi ID in 2023 until December 17:
Participant’s Mi ID;
From which regional mi.com website or Mi Store app Participant enters the Activity;
Participant’s nickname current as of his/her entry of the Activity;
Participant’s profile photo current as of his/her entry of the Activity;
Whether Participant has entered a birthday in his/her Xiaomi account’s personal center;
The date of Participant’s first visit to the regional mi.com website or Mi Store app, whichever occurred first;
The number of items that Participant purchased, successfully signed for and did not apply for any refund for;
How many Mi Points Participant has obtained, how many Mi Points Participant has used and how many valid Mi Points Participant still has;
The total of the non-discounted prices of Participant’s purchases minus the total of Participant’s actual payments;
Participant’s data including the New Year’s resolutions that Participant chooses in the Activity.
To ensure the proper organization and management of the Activity, Organizer shall only collect, use, disclose and otherwise process Participant’s personal data only for legitimate, specific, necessary and explicit purposes. By entering the Activity, Participant hereby consents that the above personal data may be collected, used, disclosed and otherwise processed by Organizer for the above purposes in accordance with the applicable laws and Xiaomi’s Privacy Policy at [https://www.mi.com/uk/about/privacy]. Participant can also choose not to provide personal data, but Participant’s participation or eligibility to qualify for rewards may be affected.
Subject to applicable laws, Participant shall agree for Organizer to transfer the personal data to be stored in Organizer’s data servers in [Netherlands].

10. LEGISLATION AND APPLICABLE JURISDICTION
Participation in the Activity will be governed by these T&C, which will be interpreted and applied in accordance with the laws of the United Kingdom. The Participants have the option of filing claims at a competent court in the country in which they are resident.
