2.TERM

The Promotion will start from 00:00 on 25th November 2019 and ends at 23:59 on the 1st December (GMT +0, 24-Hour Clock).

3.TERRITORY

The Promotion is valid in the United Kingdom and on mi.com/uk only.

4.PARTICIPANTS

1) You must be over or of legal age (18 years old) to participate in this Promotion.

2) You must own an account or be a registered user of mi.com ("Site") and accept the Terms and Conditions (https://www.mi.com/uk/about/terms/) and Privacy Policy (https://www.mi.com/uk/about/privacy/). You can also create a personal account in order to participate in this Promotion, with indication of the following personal data and information: name, surname, e-mail address, telephone number.

5.MECHANICS OF THE PROMOTION

During the Promotion Term, upon the purchase of selected Xiaomi Products and subject to the Terms and Conditions under section 6, 7, 8 you will be eligible to obtain the following promotions:

i. DISCOUNT COUPON CODE: you will be eligible to receive discount coupons on selected Xiaomi Products, using discount coupon codes on mi.com/uk subject to the conditions under section 6.
ii. BEST SELLERS: you can obtain a price reduction in your purchase of Xiaomi products, subject to the conditions under section 7.
iii. HOT DEALS: you can obtain a free accessory in your purchase of a Xiaomi product subject to the conditions under section 8.
iv. XIAOMI APP DISCOUNT COUPON: with the purchase of a Xiaomi product through the App, you will receive an additional discount of £5, subject to the conditions under section 9.

Throughout the Term of the Promotion, offers are given away on a first-comes and first-served basis and will only be valid during the Term of the Promotion therefore please, read those sections carefully.

6.DISCOUNT COUPON CODE

6.1 General provision

In order to obtain discount coupons on selected Xiaomi products you must be logged in your Mi account on www.mi.com/uk.

During the Term of the Promotion, for each purchase of a selected product, you will be able to redeem a discount coupon by entering a coupon code available for the corresponding minimum spent amount.

Based on the amount spent on your purchase, you will be eligible to receive three (3) different types of discount coupons which will work as follow:

Discount coupons and their applicable Coupon Code are valid for all products on mi.com/uk, excluding Xiaomi’s smartphone Redmi Note 8T.

6.2 Redeeming a discount Coupon

When purchasing the product, you must write one of the above three coupon codes (BF10; BF2; BF3) on the Colum “Coupon Code” which will be available on the Promotion page mi.com/uk. The code entered must correspond to https://event.mi.com/uk/blackfriday2019/sales.

Once you have written the coupon code successfully, the respective discount coupon discount will automatically apply to the final price of the product in your shopping cart. You must then proceed with the payment within the 2 hours. If you fail to complete your purchase the discount coupon will expire.

Please note that you can only use ONE (1) coupon code per purchase.

13.LIABILITY AND REPRESENTATION

13.1 Promoter representation

Unless otherwise expressly stated in this T&C, Promoter and its affiliated or third-party promoters provide the Promotion on best effort basis only and exclude all warranties and conditions of any kind whether expressly or implied. In particular but without limitation, Promoter and its affiliated or third-party promoters do not warrant or represent that:
(i) The Promotion is fit for any purpose or meet Participants requirements or is provided without any errors or deficiencies or that the Promotion in compliance with any quality levels, as the case may be;
(ii) The Promotion is available to participant at any time and provided to Participant without disruption, interruption or delay;
(iii) Any information (whether oral or written) obtained by Participant from Promoter or as a result of Participants taking part in the Promotion (including any materials or products) will be suitable, accurate, complete, or reliable; and
(iv) That any deficiencies in the Promotion, including any defects in performance, operation or functionality of the Promotion will be fixed, corrected or otherwise remedied.

13.2 Promoter liability

Promoter is not liable to Participant, regardless of the legal grounds, in particular whether in contract, tort (including negligence) or any theory of liability, in or out of the connection with the participation in the Promotion for:
(i) Any indirect, incidental, special or consequential damages;
(ii) Any loss of income, business, actual or anticipated profits, opportunity, goodwill or reputation (whether direct or indirect);
(iii) Any damage to and/or corruption or loss of data (whether direct or indirect);
(iv) Any changes, modifications, extensions or limitations (including any suspension of Participants) in the Promotion.
(v) Access to Participants account and account data or Participants registration data) taking part of the Promotion, or any permanent or temporary cessation in the terms or conditions of the Promotions (or any part of them).
In the event that Promoter is liable for a breach of these terms, Promoter liability shall be limited to damages which Promoter must typically expect at the time of the conclusion of this terms due to the circumstances known at the time. Notwithstanding the above, such damages shall not be higher than 100 euros (or equivalent local currency).
Nothing in these terms shall exclude or limit Promoter
a) Liability for death, personal injury or fraud or in accordance with any product liability act; and
b) Warranty or liability for damages or losses which may not be lawfully excluded or limited by applicable law. If the laws in the Participants jurisdiction do not allow the exclusion of certain warranties, terms or conditions or the limitation or exclusion of liability for loss or damage caused by negligence, breach of contract or breach of implied terms, or incidental or consequential damages, only the limitations which are lawful in that jurisdiction will apply to the Participants and Promoter’s liability and warranty will be limited to the maximum extent permitted by applicable law.

13.3 Participants liability

Participant is entirely responsible for any breach of the obligations under
(i) These terms; and
(ii) Any applicable law or regulation in the relevant jurisdictions, including the jurisdiction where you are a resident or from where you are participating in the Promotion.
(iii) And for the consequences of any such breach, including any loss or damage which Promoter or any third-party may incur or suffer. Promoter will have no responsibility to Participant or to any third party in respect of such breach.

2. TERM

The Promotion will be held over two (2) Weeks - From Mondays to Sundays- and will work as follow,
The first week will start on Monday the 18th of November, 00:00 (GMT+1) and end on Friday the 22nd November 2019, 23:59 (GMT+1) (‘Week Term’).
The second week will start on Monday the 25th of November, 00:00 (GTM+1) and end on the Friday 29th of November 2019, 23:59 (GTM+1) (‘Week Term’);
The First Week Term and the Second Week Term will be collectively referred to as the Weeks Term.
Each of the two (2) weeks will work autonomously. The Participants can choose either to participate in one of the two weeks as described above or in the two (2) of them. Moreover, as Discount Coupons are given away on a daily basis during the Weeks Terms, Participants will also be able to participate in one of the day(s) within the Weeks term or in all them -From Mondays to Fridays-only.

3. TERRITORY

The Promotion is only valid in the territories of United Kingdom, Spain, Italy, France, Russia and solely on the respective participating local websites of mi.com/uk

5. MECHANICS OF THE PARTICIPATION IN THE PROMOTION

5.1 General Provision.

During the Term of the Promotion, Participants will be eligible to obtain Discount Coupons.

Within the Weeks Term, Participants may be able to get one (1) coupon per day (‘Daily Coupon’).

Subject to the conditions set out below, Participants will be able to accumulate a maximum of five (5) Daily Coupons for each of the Week Term.

During the Week term, the Participants who obtained a minimum of three (3) Daily Coupons will automatically receive one (1) Special Coupon.

The Promoter will display some information related to the Discount Coupons on the Promotion Calendar which will be accessible on the Promotion web page during the Term or by clicking on the following Link https://event.mi.com/uk/blackfriday2019/sales.

Participants will also be able to check the Discount Coupon details directly on the Coupon they have received.

Please be aware that Discount Coupons are given away on the principle of ‘first-comes / first-served’. Moreover, during the Weeks Term, the quantity and value of the daily Discount Coupons available may vary at the sole discretion of the Promoter.

Discount Coupons are non-refundable and cannot be exchanged for cash in part or full and is valid for a single transaction only. If you return any order purchased in the Promotion, the Discount Coupons will not be refundable either.

5.2 How to obtain Discount Coupon

In order to obtain Discount Coupons, the Participants must be successfully logged into their Mi account and enter in the Promotion web page through the following link: https://event.mi.com/uk/blackfriday2019/sales
Participants will then automatically receive within the following two (2) hours one (1) Daily Coupon in their Mi Account.
Participants will be able to see on the Promotion web page a Pop Out reminding them that they have received a Daily Coupon on their Mi Account.
During the Term of the Promotion, Discount coupons are given away on the principle ‘first- comes first served ’. Therefore, the opportunity for Participants to obtain a daily Discount Coupon during the Weeks Terms will vary on the Participants’s reactivity and the stock of Daily Coupon available.
During the Weeks Term, where there is no remaining Daily Coupons left, Participants when entering in the Promotion Page, will not be able to see any Daily Coupon Pop Out.
Throughout the Term of the Promotion, Participants will also be able to check the availability of the Daily Coupons on the Calendar in the Web Page.
If there are no Daily Coupons left, the mention “All Taken” will be indicated on the corresponding date of the Calendar.

5.3 Categories of Discount Coupon

Subject to the conditions set out below, the Participants will be able to obtain two (2) different types of Discount Coupon, the Daily Coupon and the Special Coupon.

(i) Participants fully understand and acknowledge that under the present Promotion neither Facebook or Twitter sponsor, endorse or otherwise administer the present Promotion, nor should they be in any way associated with the Promotion.
(ii) Moreover Participants should understand that separate Terms and Conditions and Terms of Use of the external social media platforms such as Facebook’s or Twitter’s may also apply, in addition to the present Promotion rules and Terms herein.

2.TERM

This Promotion starts on Monday 25th of November 2019 and ends on Wednesday 27th November 2019.
The Promotion will consist of Three (3) separate auction rounds. During the term of the Promotion, there will be Four round per day. Each round will last one (1) hour.

Please note that participants who have already won the bidding once cannot participate in other rounds after the winning bid. Any bid made outside of the term of the Promotion will not be considered by the Promoter.

5.1. General rules of the Promotion

The Promotion will be similar to a reverse auction.
Participants will get a chance to purchase Xiaomi products by making a bid for product(s) priory selected by the Promoter for the Term of the Promotion. There will be three different rounds during the Term of the Promotion as stipulated above. At the end of each round, Participants who made a single unique lowest bid for the product(s) they have placed a bid (“Final Purchasers”), can purchase this product(s) at their offered biding price under the conditions of point 8. (“Final Purchase”).

5.2. Products subject to the Promotion

During the Term of the Promotion, Participants will be able to bid for any product(s) available for the Promotion.
Please be aware that: (i) The type of products; (ii) The number of products (iii) The value of the products; may differ upon rounds and upon the territory where the Participants reside in.
Information relating to the products under the auction for each territory will be provided by the Promoter on the local websites, which will be accessible on the Participants local www.mi.com.

6.SPECIFIC RULES OF THE PROMOTION

By making a bid, Participants agree to the specific rules of the Promotion. Participants need to carefully read, understand and agree to the terms and conditions of the Promotion.

6.1. Making a Valid Bid.

To make a valid bid, Participants need to enter the amount Participants want to bid for in the input price operation area and follow the further process.
Participants can make a bid for every product that are available in the rounds.
However, Participants can only make three (3) offers on the product they are bidding for.
Please note that once Participants confirm the final bid, Participants will not be able to change the final bid amount.

6.2. Rules on the Biding amount

The amount of the bid must comply with the following requirements:

During the rounds, Participants will be able to monitor the auction activity on the Promotion web page which will consist of a live display of other Participants’ bidding amounts for the products under auction. The biding amounts displayed is only part of the full database, and was randomly selected.
Please note that during the Term, only Participants’ partial Mi ID and their offered bidding amounts for the products under auction will be displayed on the Promotion page.
Within two hours of the end of each round, the Promoter will publish on the Promotion web page; The partial Mi ID of the Participants who made the single lowest biding (Final Purchasers), as well as, the winning bid amount of the Final winners for the products they bided for.

7.FINAL PURCHASERS SELECTION

During the Term of the Promotion, Participants who made the single lowest bid for Xiaomi product(s) will have the opportunity to purchase the product(s) they have bid for (Final Purchasers).
There will be one (1) Final Purchaser per product under the auction. During the Term of the Promotion, the number of Final Purchasers will vary depending on the number of products under the auction.
Where two or more Participants offer the same auction amount, the system will automatically erase those auction amounts and will elect the next lowest single unique bid offered by other Participants.
If the conditions described above are not met and there is no Final Purchaser, the Promoter will keep the product and will decide on its use.

8.FINAL PURCHASE

8.1. How to redeem my Final Purchase

The Final Purchases will automatically be added in the Final Purchasers’ shopping cart in their personal Mi Account. The Final Purchasers will automatically receive a notification from the Promoter on his personal Mi Account, which will inform of the time limit for completing the purchase of the Final purchase.
Where the Final Purchaser did not complete the payment in the time limit as notified by the Promoter, the Final Purchase’s price will not be applied to the products in their shopping carts. The Final Purchaser will therefore loose the opportunity to purchase the product bided for at the winning bid price.

9.OTHER

The Final Purchases under this Promotion are not exchangeable in cash and will be subject, if applicable, to the corresponding tax and withholdings if applicable.
The Final Purchases cannot be exchanged for any other Products. The Final Purchases will be shipped to the address confirmed by the Final Purchasers.

All the prices are vat inclusive.

13.LIABILITY AND REPRESENTATION

13.1Promoter representation

Unless otherwise expressly stated in this terms, Promoter and its affiliated or third-party promoters provide the Promotion on best effort basis only and exclude all warranties and conditions of any kind whether ex-pressly or implied. In particular but without limitation, Promoter and its affiliated or third-party promoters do not warrant or represent that:
(i) The Promotion is fit for any purpose or meet Participants requirements or is provided without any errors or deficiencies or that the Promotion in compliance with any quality levels, as the case may be;
(ii) The Promotion is available to participant at any time and provided to Participant without disrup-tion, interruption or delay;
(iii) Any information (whether oral or written) obtained by Participant from Promoter or as a result of Participants taking part in the Promotion (including any materials or products) will be suitable, accurate, complete, or reliable; and
(iv) That any deficiencies in the Promotion, including any defects in performance, operation or func-tionality of the Promotion will be fixed, corrected or otherwise remedied.

13.2 Promoter liability

Promoter is not liable to Participant, regardless of the legal grounds, in particular whether in contract, tort (including negligence) or any theory of liability, in or out of the connection with the participation in the Pro-motion for:
(i) Any indirect, incidental, special or consequential damages;
(ii) Any loss of income, business, actual or anticipated profits, opportunity, goodwill or reputation (whether direct or indirect);
(iii) Any damage to and/or corruption or loss of data (whether direct or indirect);
(iv) Any changes, modifications, extensions or limitations (including any suspension of Participants) in the Promotion.
(v) Access to Participants account and account data or Participants registration data) taking part of the Promotion, or any permanent or temporary cessation in the terms or conditions of the Pro-motions (or any part of them).
In the event that Promoter is liable for a breach of these terms, Promoter liability shall be limited to damages which Promoter must typically expect at the time of the conclusion of this terms due to the circumstances known at the time. Notwithstanding the above, such damages shall not be higher than 100 euros (or equiva-lent local currency).
Nothing in these terms shall exclude or limit Promoter
a) Liability for death, personal injury or fraud or in accordance with any product liability act; and
b) Warranty or liability for damages or losses which may not be lawfully excluded or limited by applica-ble law. If the laws in the Participants jurisdiction do not allow the exclusion of certain warranties, terms or conditions or the limitation or exclusion of liability for loss or damage caused by negligence, breach of contract or breach of implied terms, or incidental or consequential damages, only the limi-tations which are lawful in that jurisdiction will apply to the Participants and Promoter’s liability and warranty will be limited to the maximum extent permitted by applicable law.

13.3 Participants liability

Participant is entirely responsible for any breach of the obligations under
(i) These terms; and
(ii) Any applicable law or regulation in the relevant jurisdictions, including the jurisdiction where you are a resident or from where you are participating in the Promotion.
(iii) And for the consequences of any such breach, including any loss or damage which Promoter or any third-party may incur or suffer. Promoter will have no responsibility to Participant or to any third party in respect of such breach.
