Welcome to Xiaomi!

This User Agreement (the “Agreement”) is entered into between you (“You” or “User”, referring to all individuals or entities who register for, log in to, use or browse our Services as defined below) and XIAOMI TECHNOLOGIES SINGAPORE PTE. LTD and its affiliates referred to as “Xiaomi” or “we”), with respect to mi.com/za/(referred to as “Site”) and the products, programs and services of Xiaomi on the Site (hereinafter referred to as “Services”).

Please read this Agreement carefully to ensure that You fully understand all its sections, including but not limited to the Disclaimer of Warranties section (see Section V below). Xiaomi may suspend or stop providing our Services to You if You do not comply with the terms of this Agreement. By using this Site and  the Services, You acknowledge that You have read and understood, and agree to accept and be bound by the terms and conditions of this Agreement. Do not use this Site if you do not agree to be bound by the terms and conditions of this Agreement.

Xiaomi reserves the right to modify the terms and conditions of this Agreement from time to time, sometimes without additional notice to you. You can log in to our Site at any time to check the latest Agreement. See Section VII for more details.

I. Terms of Use

By accepting this Agreement, You agree to the following:

  • Account creation. You may access the Site without registering your details on the Site. However, should You wish to access some of our Services, You may need to create a Mi Account (“Account”). Creating an Account will require You to provide relevant personal information. You can delete or deactivate your Account at any time by following the instructions on the Site, and we will maintain, deactivate or delete your Account based on this Agreement. The right to use the Account only belongs to You, and You are not allowed to lend, lease, license, transfer, give away or sell the Account. Xiaomi has the right to retrieve any Account for operational needs.

  • Account information. It is your responsibility to ensure the authenticity, legality, accuracy and validity of your Account information. It is also your responsibility to update your Account information from time to time to ensure that it is accurate. You may also delete, or request the deletion of, any Account information (including personal information) and/or any User Content (as defined in Section II) You may have posted through your Account. Please note that any content related to User Content may be automatically deleted when You delete such information (e.g., comments to a post).

  • Account management and security. You are responsible for the safety of your Account information including the password You create to access your Account. You may not use the passwords and Accounts of other Users under any circumstances. You must immediately notify Xiaomi if you suspect that other Users may be using your password or Account.

  • Compliance with applicable laws. You may not use the Site for any purpose that is unlawful or prohibited by this Agreement, and may not use the Site or any User Content, to infringe the rights of other entities or individuals.

  • You must abide by any and all applicable foreign export control laws and restrictions, including any restrictions on the destination, end users and end use. Xiaomi reserves the right to suspend, restrict or terminate your access to all or any portion of the Site for the purposes of abiding by such export control laws and restrictions.

  • You may not use any "deep-link", "page-scrape", "robot", "spider" or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the Site or any User Content, or the structure or presentation of the Site, to obtain or attempt to obtain any materials, documents or information by any means not purposely made available through the Site. Xiaomi reserves the right to bar any such activity. You may not attempt to gain unauthorized access to any portion or feature of the Site or to any of the Services offered on or through the Site by any illegitimate means. You may not launch any form of cyber attacks on the Site. You must immediately notify Xiaomi if you become aware of any illegal or unauthorized activities performed by others through the Site or in relation to the Services.

  • You may not upload or release any viruses, worms or malware; unlawfully collect and use the information or data of other Users; disable network connection of the Site, cause the site to overload with traffic, interrupt or undermine the website server and connection in other ways; interrupt or undermine other users' normal use of the Site or Services.

  • It is your responsibility to assess, beforehand, whether there are any legal risks associated with User Content (as defined in Section II below)) You post on the Site, if we provide this functionality. Should your use of the Site and Services be found to be non-compliant in any way (including, for example, if You have used our Services or any of your Accounts in a malicious manner), You shall be liable for such activities, including any statements made and any loss or damage that may directly or indirectly arise from your activities and/or statements made (if applicable).

  • Statements made on the Site. Any statements You post on the Site will be public. Any third party will be able to access this information. If You do not want any third party to have access to your statements, please do not post them on the Site.

  • Disclosure of information. Xiaomi reserves the right, at all times, to disclose to relevant third partes any information as may be necessary to comply with any applicable law, regulation, legal process or governmental request. Xiaomi may also disclose your information when Xiaomi determines that such disclosure is required (i) by law, including exchanging information with other companies and organizations for fraud protection purposes; (ii) to enforce this Agreement; (iii) to respond to any claims that data violates or infringes on the rights of others; or (iv) to protect the rights, property or personal safety of Xiaomi, its employees, Users or visitors to the Site.

  • Suspension, restriction, termination and revocation. You agree that we may change, suspend, restrict, terminate or revoke your rights to use our Services, including the Site, at any time. We will provide You with prior notice where needed and feasible, in accordance with applicable laws.

  • Advertisements. We may include advertisements on the Site and in our Services, which are permitted by applicable laws. You agree to the display of advertisements and other events from us or our related parties or cooperators while enjoying our Services.

  • Unlawful content. We have the right to suspend or delete, in line with applicable laws and this Agreement, any User Content that violates the laws of any jurisdiction and/or the terms of this Agreement; that infringes, prejudices, threatens any right or safety; and/or that impersonates others. We also retain the right to take proper legal actions, including but not limited to removing any illegal or infringing content, suspending the qualification of violators, and saving relevant information and reporting any incidents to the relevant authorities based on the applicable laws.

  • Network and connectivity. As part of the Services we offer, including the provision of the Site to You, we may provide services that require you to use other networks, including the internet. You shall bear all related communication fees or fees from any third-party service providers which provide network access or connectivity to enable You to use the Services. We strongly advise you to contact the providers for related fees if there are value-added services involved in your activities.

  • Privacy. All personal information provided by you will be governed by the terms of Xiaomi's Privacy Policy. The terms of the Privacy Policy form part of this Agreement, and will be binding on you at all times. The Privacy Policy can be viewed at https://www.mi.com/za/about/privacy/.

  • Xiaomi will not be liable for damages or losses arising from any User’s non-compliance with any of the provision(s) of this Agreement.

    II. User Content

User Content refers to all the content (information, pictures, music or others) resulting from uploads, releases or other User activities which are performed through the Site and in relation to any of the Services that we provide, where this functionality is provided. You are solely responsible for such User Content and bear all risks that result from your disclosure of such User Content.

Once You engage in any uploads, releases or other activities which generate User Content through the Site and in relation to receiving the Services, the intellectual property rights of the content created by you remain at yours and to the full extent permitted by law, You grant Xiaomi an irrevocable, non-exclusive, sub-licensable, transferrable and royalty-free global license to:

  • use the User Content to provide you with and make i­­mprovements to Xiaomi products and services;

  • copy, publish or display the User Content, make derivative works thereof and/or incorporate it into other works, or use your User Content (except for your personal information) in other ways; and

  • copy and provide the User Content only to a designated receiver.

The Site and Services may include User Content provided by other Users, and the interaction between You shall be solely responsible for such interaction and any claims arising therefrom and shall hold Xiaomi harmless from and against such claims.

III. Third Parties

You understand and agree that our Services are based on technical support that Xiaomi receives from third parties such as Google. Any personal information shared with third parties is done in accordance with our Privacy Policy (see Section X below for more details). You agree and authorize Xiaomi to limit your rights to use the Site and/or any of the Services, if needed, based on the provisions of this Agreement or any applicable laws.

You acknowledge that this Site may contain links to other independent third party websites and, when You visit the websites and/or click on the advertisements of any third party, such third party’s terms and policies apply, including any provisions relating to the risks responsibilities associated with accessing such third party's sites or using such third party’s services. You will bear all risks and legal responsibility when you use a third party’s sites and/or services. We are not responsible for the content of any such external websites and disclaim any liability associated therewith.

IV. Liability

You agree to use the Site and/or Services harmlessly and help Xiaomi to avoid bearing any claim, complaint, loss, damage, responsibility, cost and fees (including but not limited to counsel fees) from any third party caused by your use of the Site and/or Services, your User Content, or your violation of this Agreement.

Xiaomi reserves the exclusive right to defend itself as well as the right to claim compensation for any damages suffered. You are solely responsible for all User Content You post on the Site and/or in relation to the Services and bear all the risks resulting from your disclosure of such User Content.

To the full extent permitted by law, You will not make unilateral reconciliation or settlement or alike when You and Xiaomi jointly file a lawsuit against any third party without written consent from Xiaomi.

Xiaomi will reasonably notify You of such lawsuit or action at law.

You will bear all the risks from using the Site and/or Services.

V. Disclaimer of Warranties

Xiaomi will not bear any legal liability in any of the following circumstances:

  • the processing of your personal information by third parties in instances where Xiaomi is required, by law or by a court of law, to disclose and/or provide your personal information to any third party (e.g. law enforcement authorities);

  • where any of your private or personal information is disclosed as a result of your own negligent actions (e.g. failure to take the necessary steps to manage the security of your Account);

  • any suspension, breakdown and/or other interruptions to your use of the Site and/or Services, as a result from any hacking, virus invasion, blockings due to illegal and harassing content, government control or any other reasons related to network, technique, communication line and information security management which are outside of our control or which results only from our slight negligence;

  • direct or indirect losses including but not limited to loss of profits, income, data or use of data suffered by any User as a result of any communication line breakdown, technical problems, network and computer breakdown, and other cases of force majeure;

  • risks that may arise from using the Site or Services due to threats, defamation, offensive or illegal information from anonymous or pseudonymous Users or breach of the Site or Services; and/or

  • any psychological or physical damage or economic losses due to misleading or fraudulent behavior when You interact with others through the Site and/or Services.

XIAOMI MAKES NO WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, AS TO THE TIMELINESS, SECURITY, ACCURACY OR UNINTERRUPTED AVAILABILITY OF THE SERVICES INCLUDING THE SITE ITSELF, THE FITNESS OF THE SERVICE IN GENERAL INCLUDING THE SITE ITSELF, OR THE FITNESS OF THE SERVICE INCLUDING THE SITE ITSELF FOR ANY PARTICULAR REQUIREMENTS OR PURPOSE OF THE USER.

No content posted by any User on the Site represents or reflects any viewpoint or policy of Xiaomi; Xiaomi does not bear any liability for any such content.

TO THE FULL EXTENT PERMITTED BY LAW, XIAOMI WILL NOT BEAR ANY LIABILITY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, EXCEPTIONAL OR PUNITIVE DAMAGES THAT RESULT FROM YOUR USE OF THE SITE, THE SERVICES OR THIS AGREEMENT, INCLUDING PROFIT LOSSES CAUSED BY USING THE SITE OR THE SERVICES.

NOTWITHSTANDING ANY OTHER PROVISIONS IN THIS AGREEMENT, THE RESPONSIBILITIES WE BEAR WILL NOT EXCEED THE FEES (IF ANY) YOU PAY FOR THE SERVICES DURING REGISTRATION VALID PERIOD, FOR ANY REASON OR IN ANY MANNER. THE FOREGOING LIMITATIONS DO NOT APPLY IN CASE OF XIAOMI'S WILLFUL INTENT, OR IN CASE OF XIAOMI'S BLATANT GROSS NEGLIGENCE.

VI. Intellectual Property

Xiaomi group and/or its licensors are the owners of the intellectual property rights of the Site and its Service.

All intellectual property rights such as copyrights, trademarks, patents, trade secrets in relation to the Site and its Services and all information content uploaded and posted to the Site (including but not limited to text, pictures, audio, video, graphics, interface design, layout frames, relevant data or electronic files, etc.) are protected by applicable laws and relevant international treaties. Unless permitted by applicable laws, Xiaomi and/or other owners of the intellectual property rights, You cannot use the Site or any information on the Site, including the content uploaded or posted by other Users.

Graphics, words and composition involving MIUI, HyperOS and other Xiaomi logos appearing in Xiaomi products and services are the trademarks of Xiaomi. Without prior written consent, You cannot display or use them in any way. By no means can any entity or individual use, copy, change, spread, transcribe any part of any of the trademarks owned by Xiaomi or sell them or sell any products or services indicating such trademarks alone or in bundle without prior written consent.

Any information posted on the Site or to the Services should not infringe the intellectual property rights of any third party. Without the prior written consent of the owner, You shall not upload, release, change, spread or copy any material or trademark under protection, or any proprietary information of others. If Xiaomi receives the appropriate notice from any copyright, trademark etc. owner or its legal representative, we will remove the related User Content after investigation.

VII. Modifications to the Agreement

We may change or modify terms of this Agreement at any time, and will notify You through your email address or via notifications on the Site when required by law. Your continued use of the Site and the Services after any modifications to the terms of this Agreement indicate that You agree to such changes.

Xiaomi reserves the right to modify, keep and/or suspend the Site and any Services without notification to You from time to time. You agree that Xiaomi shall not be liable, to the extent permitted by law, for changing, keeping and/or suspending the Site and any Services that are provided by Xiaomi and/or third parties.

VIII. Termination

This Agreement comes into effect when You agree to it and remains in effect for as long as You continue to use the Site and/or any Services, until the termination of this Agreement for any reason.

Notwithstanding the preceding provisions, this Agreement becomes effective the first time You use the Site and/or any Services, if You do so before you accept this Agreement by checking a box or through any other express means of showing that you have accepted this Agreement.

We may restrict your right to access the Site, the Services and your Account and may terminate this Agreement at any time for any reason without prior notice, in case we believe You have violated any terms of this Agreement or any of our policies.

Notwithstanding the preceding provisions, Xiaomi reserves the right to terminate this Agreement if the User infringes any intellectual property right (e.g., copyright, trademark, etc.) of a third party (in case we receive plausible notice from such third party or the legal representative thereof of such infringement or have other reasonable grounds to believe that You have infringed the intellectual property rights of a third party.)

Once this Agreement terminates, all your Accounts and your right to use the Site and Services will also cease. You should understand this means your User Content may be removed from the Site and our database. Xiaomi shall not be held liable for terminating this Agreement, including terminating your Account and removing your User Content.

Any revised version of the Site, updates or other changes to the Services will be subject to this Agreement.

Xiaomi can terminate this Agreement unilaterally at any time and will notify You through your email address or via notifications on the Site, unless not required by law.

IX. Feedback

If You provide any suggestions to Xiaomi (“Feedback”), You agree that You transfer all rights related to such Feedback to Xiaomi, and Xiaomi shall have a non-exclusive, sub-licensable, transferrable and royalty-free global right and license to use and commercially exploit the Feedback in any appropriate method without any restrictions. We also consider your Feedback unclassified and non-exclusive.

You agree not to provide any information to Xiaomi which You regard as private and proprietary. We reserve the rights (not obligations) to examine your Feedback.

X. Privacy

Xiaomi values your privacy and will protect your personal information in accordance with relevant applicable laws in your jurisdiction. We promise that Xiaomi will only collect and process Users’ personal information that is necessary for the provision of the Services on the Site in accordance with the applicable law. Please refer to our Privacy Policy (https://www.mi.com/za/about/privacy/) and our Cookie Policy [https://www.mi.com/za/support/policy/cookie-policy] for more details on how we treat your personal information.

XI. Notification

You are encouraged to provide a valid email address to receive notifications. Xiaomi shall not be liable in circumstances where we are unable to reach you through the email address you provide. The notifications on the Site or emails sent to the last email address You have provided, will be deemed to have been received by You for the purpose of notifying You of any revisions to the Agreement, the Privacy Policy and/or the Cookie Policy.

XII. Governing Law and Disputes

This Agreement, the interpretation of its terms, its effectiveness, its validity and dispute resolution, shall be governed by the laws of the Singapore.

If any dispute arises between You and Xiaomi out of or in connection with this Agreement, such dispute shall first be resolved through amicable settlement. If the settlement fails, such dispute shall be settled through arbitration by Singapore International Arbitration Centre (“SIAC”) under SIAC Arbitration Rules in force when the Notice of Arbitration is submitted.

The arbitration proceedings shall be conducted in English.

The arbitral award shall be final, exclusive and binding upon both You and Xiaomi. By submitting any dispute to arbitration, both You and Xiaomi undertake to comply with any award of the arbitration panel. Both You and Xiaomi hereby waive, to the extent permitted by law, any rights to appeal or to review, such award by any court or tribunal. The arbitration fees shall be borne by the losing Party except if the arbitral award states otherwise.

XIII. Severability

If some provisions of this Agreement cannot be applied for some reasons, they will be revised to apply legally; and all other provisions remain applicable.

XIV. General Provisions

This Agreement shall be the sole and exclusive agreement between You and Xiaomi, in relation to any matter relating to the Site and/or the Services.

The title of each paragraph is written only for the convenience of reading and does not have any effect on the legal interpretation of the terms thereunder nor do they give rise to any legal or contractual obligations.

Without a prior written consent from Xiaomi, You cannot transfer the rights and obligations stated in this Agreement to a third party. Any behavior or activity violating this provision about such a transfer attempt shall be invalid.
