The following legal bases (hereinafter, the "Terms") regulate the conditions for participation in the Competition called "【 A Song for Mi 】" (the "Competition"), organized for Global Mi Community by Beijing Xiaomi Mobile Software Co., Ltd Xiaomi Inc. Address: Xiaomi Campus, No. 33 Xierqi Middle Road, Haidian District, Beijing, 100085, China.
(hereinafter called the "Organizer")
The Competition will be exclusively accessible on the 【Mi Community 】through the website https://c.mi.com/global/ (hereinafter, the "Web").
For questions about this Competition, please contact 【email@example.com】. The Organizer reserves the right to amend all or part of the Terms for technical, operational or commercial reasons, in which case the Organizer will publish this amendment together with the Terms in its own media.
The Competition is open to all participants except for the residents from Tamil Nadu of India.
In order to participate in the Competition, the Participant must have the legal age of the Territory from which he/she participates and have full legal capacity according to the applicable laws of its place of residence.
Employees of the Organizer or any company related to the Competition and/or their family members may not participate in the Competition.
The Organizer shall have the right to refuse users who provided false or incomplete data.
The Competition starts on 【18/11】 2020(GMT +8) and ends on the 【 31/1 】2021(GMT +8).
6.1 GENERAL PROVISIONS This competition is an activity on Mi Community global webpage，where participants are invited to 【submit instruments tracks and lyrics of originality, creativity quality】. At the end of the Term, Participants will be selected by a panel of producer and will be offered a service agreement[Please fill in the proper name of the agreement.]】 by which 【Participants transfers the copyright of the selected work to the Organizer and/or its affiliates upon mutually agreed covenants.】 6.2 COMPETITION REQUIREMENTS
【Participants are invited to upload on the Web and Email : i.A link displaying their original melody and instruments works that created by themselves
ii.A original written lyrics (hereinafter the “Material” or “Materials”) Participants are prohibited from uploading any materials infringing or likely to infringe any rights of third parties, particularly the intellectual property rights.
The Organizer shall have the right to reject Participants who contravene the applicable regulations especially Participants who infringed the intellectual property rights of third parties.
Only one (1) application per Material will be accepted. Each Participant’s entry will be reviewed after submission.
6.3 SELECTION There will be 【no more than ten (10)】works selected for each part. The selection of works will be based on the following criteria: Real Instruments recordings : the parts recorded need to musically fit the song harmony and rhythm and the execution has to be on time and the instrument on tune. The recording needs to be with enough quality and resolution to be used in the final product . The parts which fit the previous criteria , which style fit better the song idea and has the most interesting creative elements in it are most likely to be selected.
Software generated parts : the parts created need to fit the song harmony and rhythm. The parts which fit the general song idea and brings more interesting creative elements are most likely to be selected.
Lyrics :the content of the lyrics proposed needs to embrace the concept of the song. In terms of metric : the lyrics that are more suitable to follow the proposed melody rhythm and length are most likely to be selected . 8.1 ASSIGNMENT OF PARTICIPANTS ITNTELLECTUAL PROPERTY RIGHTS The Participant owns the copyright of his/her entries. The winners of award-winning works must observe the requirements for transferring the ownership of the work to the Organizer. The winner explicitly agree that the Prizes awarded in connection with the selected work include ample and full consideration to the transferring of the ownership.
8.2 NON INFRINGMENT OF THIRD PARTY’S RIGHTS
The Participants warrant that the Material they submit DURING the Competition IS their OWN ORIGINAL WORK AND/OR THAT THEY HOLD ALL NECESSARY RIGHTS. The Participant is fully and exclusively responsible for the content ThAT he/she incorporates IN THE PHOTO(s)/VIDEO(s)/REVIEW(S) and for the Photo(s)/Video(s)/REVIEW(S) THAT she/he uploads or communicates through the COMPETITION page. The Organizer will not be responsible for any infractions and/or violations by the Participant in connection with this Competition.
10.1 Organizer representation Unless otherwise expressly stated in these Terms, Organizer and its affiliated or third-party organizers provide the Competition on best effort basis only and exclude all warranties and conditions of any kind whether expressly or implied. In particular but without limitation, Organizer and its affiliated or third-party organizers do not warrant or represent that: (i)The Competition is fit for any purpose or meet Participants requirements or is provided without any errors or deficiencies or that the Competition in compliance with any quality levels, as the case may be; (ii)The Competition is available to participant at any time and provided to Participant without disruption, interruption or delay; (iii)Any information (whether oral or written) obtained by Participant from Organizer or as a result of Participants taking part in the Competition (including any materials or products) will be suitable, accurate, complete, or reliable; and (iv)That any deficiencies in the Competition, including any defects in performance, operation or functionality of the Competition will be fixed, corrected or otherwise remedied.
10.2 Organizer liability Organizer is not liable to Participant, regardless of the legal grounds, in particular whether in contract, tort (including negligence) or any theory of liability, in or out of the connection with the participation in the Competition for: (i)Any indirect, incidental, special or consequential damages; (ii)Any loss of income, business, actual or anticipated profits, opportunity, goodwill or reputation (whether direct or indirect); (iii)Any damage to and/or corruption or loss of data (whether direct or indirect); (iv)Any changes, modifications, extensions or limitations (including any suspension of Participants) in the Competition. (v)Access to Participants account and account data or Participants registration data) taking part of the Competition, or any permanent or temporary cessation in the terms or conditions of the Competitions (or any part of them). In the event that Organizer is liable for a breach of these terms, Organizer liability shall be limited to damages which Organizer must typically expect at the time of the conclusion of this terms due to the circumstances known at the time. Notwithstanding the above, such damages shall not be higher than 100 eur (or equivalent local currency). Nothing in these terms shall exclude or limit Organizer a)Liability for death, personal injury or fraud or in accordance with any product liability act; and b)Warranty or liability for damages or losses which may not be lawfully excluded or limited by applicable law. If the laws in the Participants jurisdiction do not allow the exclusion of certain warranties, terms or conditions or the limitation or exclusion of liability for loss or damage caused by negligence, breach of contract or breach of implied terms, or incidental or consequential damages, only the limitations which are lawful in that jurisdiction will apply to the Participants and Organizers liability and warranty will be limited to the maximum extent permitted by applicable law.
10.3 Participants liability
Participant is entirely responsible for any breach of the obligations under (i)These terms; and (ii)Any applicable law or regulation in the relevant jurisdictions, including the jurisdiction where you are a resident or from where you are participating in the Competition. (iii)And for the consequences of any such breach, including any loss or damage which Organizer or any third-party may incur or suffer. Organizer will have no responsibility to Participant or to any third party in respect of such breach.
Participation in the Competition will be governed by the Competition rules, which will be interpreted and applied in accordance with the applicable laws of China.
The Participants have the option of filing claims at the Haidian District People’s Court in Beijing, China.
